By creating an account or using HygieNow ("Platform"), operated by HygieNow LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Platform.
HygieNow is a technology marketplace platform that connects licensed dental hygienists with dental offices seeking per-diem and short-term shift coverage. The Company acts solely as an intermediary technology provider and is not an employer, staffing agency, or employment agency.
HygieNow is a technology platform, not an employer. HygieNow does not employ, supervise, direct, or control any dental hygienist or dental office user. The Platform serves exclusively as a marketplace to facilitate connections between independent dental hygienists and dental offices.
Hygienist independence. Dental hygienists who use HygieNow operate as independent professionals. They are free to: (a) set their own rates; (b) accept or decline any shift at their sole discretion; (c) work with any number of offices, platforms, or agencies simultaneously; (d) determine their own schedule and availability; (e) use their own instruments, tools, and professional supplies; and (f) discontinue use of the Platform at any time without penalty.
No employment relationship. Nothing in these Terms or in the use of the Platform creates an employment relationship, joint employment relationship, partnership, joint venture, or agency relationship between HygieNow and any hygienist or dental office. HygieNow does not provide training, set work hours, require exclusivity, or exercise control over how dental hygiene services are performed.
Office responsibilities regarding worker classification. Each dental office is solely responsible for its own compliance with all applicable federal, state, and local tax laws, labor laws, and worker classification regulations. Dental offices should consult their own legal and tax advisors regarding the proper classification of workers engaged through the Platform. HygieNow does not provide legal, tax, or employment classification advice.
Hygienist tax responsibilities. Hygienists using the Platform are responsible for their own tax obligations, including but not limited to self-employment taxes, estimated quarterly tax payments, and maintaining appropriate records. HygieNow will provide applicable tax documentation (Form 1099-NEC) as required by law.
Indemnification. Each user agrees to indemnify, defend, and hold harmless HygieNow LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) the user's misclassification of workers; (b) the user's failure to comply with applicable tax or labor laws; (c) any employment-related claims brought by or against the user; or (d) the user's breach of these Terms.
To use HygieNow, you must be at least 18 years old. Hygienists must hold a valid, active dental hygiene license in the state(s) where they seek to work. Dental offices must be lawfully operating licensed dental practices.
By providing your mobile phone number and registering on HygieNow, you consent to receive text messages (SMS) from HygieNow including:
Message frequency: Varies based on platform activity. You may receive multiple messages per day during active shift periods.
Message and data rates may apply. Check with your mobile carrier for details.
To opt out: Reply STOP to any message at any time. You will receive a confirmation and no further messages will be sent. Note that opting out of SMS may limit platform functionality.

Carriers are not liable for delayed or undelivered messages.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@hygienow.com if you suspect unauthorized access.
Hygienists agree to: (a) maintain a valid, current dental hygiene license; (b) fulfill the time commitments of shifts they have chosen to accept; (c) provide accurate credentials and work history; (d) comply with all applicable state dental practice acts; and (e) notify the platform promptly of any license suspension or disciplinary action.
Dental offices agree to: (a) provide accurate information about shift requirements; (b) ensure a safe working environment; (c) confirm or cancel shifts in accordance with platform cancellation policies; and (d) provide appropriate supervision as required by state dental practice acts.
Payment processing is handled through third-party payment providers. HygieNow charges platform fees as disclosed at the time of booking. Payouts to hygienists are processed according to the schedule displayed in your account dashboard. All fees are non-refundable unless otherwise stated.
HygieNow introduces dental offices ("Client") to licensed dental hygienists ("Hygienist") through the platform.
No Conversion Fee: HygieNow does not charge a conversion fee or placement fee if a Client brings on a Hygienist met through the platform permanently. If you find your next permanent hire through HygieNow, we consider that a success for everyone involved.
We simply ask that offices continue to use HygieNow for future shift coverage needs and recommend the platform to colleagues in the dental community.
Users may not: (a) misrepresent credentials or identity; (b) use the platform to circumvent payments outside the platform; (c) harass or discriminate against other users; (d) post false or misleading information; or (e) use the platform for any unlawful purpose.
HygieNow is built on reliability. Dental offices schedule patients around confirmed hygienist shifts. The following policy protects offices while remaining fair to hygienists.
Penalty-free cancellation: Cancellations made 48 or more hours before the scheduled shift start carry no penalty and no record.
Late cancellation (within 48 hours): Results in 1 reliability flag. No-shows (zero notice) result in 2 reliability flags.
Emergency exemption: The first cancellation due to illness or genuine emergency in any 90-day window is exempt from reliability flag penalties, no questions asked. A second such cancellation in the same 90-day window is logged with no flag. A third is treated as a standard late cancellation.
Reliability flag thresholds:
HygieNow may waive reliability flags in documented extenuating circumstances. Hygienists who communicate early are always treated in good faith.
Hygienists depend on confirmed shifts. They clear their schedules, turn down other offers, and prepare for your office. The following policy protects hygienists while remaining fair to offices.
Cancellation with 24+ hours notice: Free cancellation, no penalty. The confirmed hygienist is notified and the shift is removed.
Late cancellation (within 24 hours): The office is charged the full posted day rate. This amount is paid to the confirmed hygienist as Guaranteed Shift Pay. The hygienist held that day for your office and deserves to be compensated.
Emergency exemption: The first qualifying emergency cancellation in any 90-day window is fully exempt. No charge to the office and no penalty to either side. A second emergency cancellation in the same 90-day window is reviewed on a case-by-case basis.

Repeat late cancellations: Offices with 3 or more late cancellations within a 90-day period will be flagged for review. HygieNow reserves the right to restrict shift posting privileges for offices that repeatedly cancel on confirmed hygienists.
HygieNow understands that emergencies happen. Offices that communicate early and honestly are always treated in good faith.
HygieNow offers a referral bonus to active hygienists who refer new hygienists to the platform.
How it works: When a hygienist you referred completes their first shift through HygieNow, you will receive a $50 bonus added to your next shift payout. The bonus is applied automatically and requires no action on your part.
Eligibility: The referral bonus applies when the referred hygienist signs up using your referral code, completes account verification, and successfully completes their first shift. There is no cap on the number of referrals you can make.
HygieNow reserves the right to modify or discontinue the referral program at any time with notice to participants. Referral bonuses cannot be combined with other promotional offers.
To the maximum extent permitted by law, HygieNow LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability shall not exceed the fees paid by you to HygieNow in the three months preceding the claim.
These Terms are governed by the laws of the State of Tennessee. Any disputes shall be resolved in the courts of Jefferson County, Tennessee.
We may update these Terms at any time. Continued use of the platform after changes constitutes acceptance of the updated Terms. We will notify registered users of material changes via email or SMS.
